These Terms and Conditions govern your use of our website (https://proximaventuresgroupe.com) and any services, deliverables, or interactions you engage in with us, whether online or offline. By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.
Proxima Ventures Inc. is a Canadian-based business solutions company located in Ontario, providing project management, business development, consulting, and marketing services to startups, entrepreneurs, and growing businesses.
These Terms are governed by and construed in accordance with the laws of the Province of Ontario, Canada. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of Ontario.
All service engagements require 50% of the total project cost to be paid upfront before any work begins.
The remaining 50% is due upon completion and delivery of the agreed-upon deliverables.
Late payments may result in project delays or service suspension until payment is received.
Our deliverables are tailored to each client’s needs. Typical formats may include but are not limited to:
Digital documents (PDF, DOCX, XLSX)
Presentations (PPT, Google Slides)
Visual/creative assets (JPG, PNG, MP4)
Project plans and strategic documentation
Website or app components (HTML, source files, etc.)
All formats and specifications will be clearly communicated during the project proposal or onboarding phase.
To ensure successful project execution, clients agree to:
Provide accurate, complete, and timely information relevant to the project
Designate a point of contact who can make decisions and approvals
Respond to requests and feedback in a reasonable timeframe
Review and approve drafts or milestones when requested
Adhere to the agreed payment schedule
Failure to fulfill these obligations may result in project delays or additional charges.
We understand that circumstances may change. Our policy is as follows:
Cancellation Before Project Start: If the project is cancelled before any work begins, the client is eligible for a refund of 80% of the initial deposit (20% retained as administrative and planning fee).
Cancellation After Work Begins: If the project is cancelled after work has begun but before final delivery, no refund will be provided on the initial deposit. However, no further payments will be due.
Post-Delivery Disputes: If a client is unsatisfied with the final deliverables, we offer up to two rounds of revisions (if included in the scope). Refunds are not available after full delivery unless explicitly agreed upon in writing.
All refund requests must be submitted in writing within 7 days of cancellation or delivery.
Unless otherwise agreed in writing:
Clients receive full rights to the final deliverables upon full payment.
Proxima Ventures Inc. retains the right to showcase non-confidential project results in its portfolio or marketing materials.
Drafts, templates, and unapproved concepts remain the intellectual property of Proxima Ventures Inc.
We strive to deliver high-quality, professional services. However, Proxima Ventures Inc. shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services. Our total liability under this agreement shall not exceed the total amount paid by the client for the specific service giving rise to the claim.
We reserve the right to update these Terms at any time without prior notice. Updates will be posted on this page with a revised effective date. Continued use of our services after such changes constitutes acceptance of the new terms.
